About the Statement of Work template
A Statement of Work (SOW) is a formal document that defines the scope, deliverables, timeline, and acceptance criteria for a specific engagement between a client and a vendor or internal team. It sits underneath a master services agreement or contract and translates commercial terms into concrete work, so both sides agree on what will be delivered, when, and for how much. A clear SOW is the primary defence against scope creep and payment disputes.

What is the difference between an SOW and an MSA?οΌ
A master services agreement (MSA) sets the overarching legal and commercial terms of the relationship, while a Statement of Work defines the scope, deliverables, and price for one specific project under that MSA.
Should a Statement of Work be fixed-price or time-and-materials?οΌ
Use fixed-price when the scope is well defined and stable, and time-and-materials when requirements are likely to evolve; the SOW should state which model applies and how billing works.
How do you handle changes once an SOW is signed?οΌ
Include a change-control clause that requires any scope, timeline, or cost changes to be documented and signed off by both parties, usually via a written change order or SOW amendment.
