About the Statement of Work template

A Statement of Work (SOW) is a formal document that defines the scope, deliverables, timeline, and acceptance criteria for a specific engagement between a client and a vendor or internal team. It sits underneath a master services agreement or contract and translates commercial terms into concrete work, so both sides agree on what will be delivered, when, and for how much. A clear SOW is the primary defence against scope creep and payment disputes.

It's part of My QMS, MyPMP's Quality Management System: fill it in online, personalize it with your name and logo, then export a clean, branded PDF. Your work auto-saves in your browser.

When to use a Statement of Work

  • β–ΈEngaging an external vendor, agency, or contractor for a defined piece of work
  • β–ΈExecuting individual projects under an existing master services agreement (MSA)
  • β–ΈFormalising deliverables, milestones, and payment schedule before work begins
  • β–ΈSetting acceptance criteria and change-control rules for fixed-price or time-and-materials engagements

What a good Statement of Work includes

  • βœ“Scope of work and specific deliverables, plus explicit exclusions
  • βœ“Timeline, milestones, and dependencies with target dates
  • βœ“Pricing model (fixed, T&M, or milestone-based) and payment schedule
  • βœ“Acceptance criteria and sign-off process for each deliverable
  • βœ“Roles, responsibilities, and key contacts on both sides
  • βœ“Change-request procedure, assumptions, and governing terms

Tips & common mistakes

  • πŸ’‘State what is out of scope as clearly as what is in scope; unspoken assumptions cause most disputes
  • πŸ’‘Tie payments to accepted deliverables or milestones rather than calendar dates alone
  • πŸ’‘Define measurable acceptance criteria so "done" is not a matter of opinion

How it works

  1. 1. Fill it in β€” type directly into the fields, tables and sections above.
  2. 2. Brand it β€” add your organization name and logo with the Branding button.
  3. 3. Export β€” print to PDF, or become a member to white-label and sync across devices.

FAQ

What is the difference between an SOW and an MSA?οΌ‹

A master services agreement (MSA) sets the overarching legal and commercial terms of the relationship, while a Statement of Work defines the scope, deliverables, and price for one specific project under that MSA.

Should a Statement of Work be fixed-price or time-and-materials?οΌ‹

Use fixed-price when the scope is well defined and stable, and time-and-materials when requirements are likely to evolve; the SOW should state which model applies and how billing works.

How do you handle changes once an SOW is signed?οΌ‹

Include a change-control clause that requires any scope, timeline, or cost changes to be documented and signed off by both parties, usually via a written change order or SOW amendment.
